By appellant’s notice filed on 12 December 2022, the Defendant appeals against the decision of HHJ Jarman KC, sitting as a Deputy High Court Judge, dated 21 November 2022, whereby he dismissed the applicant’s unfair prejudice petition and copyright infringement claim.
The appellant, Mr Rahman, Mr Munim and Mr Ahmed were shareholders in the Fourth Party, Le Chef. It was intended that Le Chef would provide an online platform for Asian restaurant and takeaways for customers to order and pay for meals and its trading name was Chefonline. Mr Munim asserted that both Mr Ahmed and Mr Rahman agreed to transfer shares to him and that stock transfer forms dated 31 October 2014 were signed by or on behalf of Mr Rahman and Mr Ahmed. Both Mr Ahmed and Mr Rahman deny that such an agreement was made and deny signing or authorising the stock transfer forms. They petitioned under section 994(1) of the Companies Act 2006 on the ground that the unauthorised transfer of their shares to Mr Munim amounted to conduct of Le Chef’s affairs and that their interests as shareholders have been prejudiced unfairly. The claim was dismissed by HHJ Jarman KC.
