Yodel Delivery Network Ltd v Jacob Corlett and Ors

These are two appeals, by the Third Defendant below, Shift Global Holdings Ltd and the Fourth Party below, Corja Holdings against the Order of David Mohyuddin KC sitting as a Deputy Judge of the Chancery Division, following hand-down his judgment on 11 June 2025.

Yodel, a major UK logistics company, is and has been for some time, in a precarious financial position and requires ongoing support. It was acquired in February 2024 by YDLGP Ltd, (a special purpose vehicle) whose sole statutory director and shareholder is Jacob Corlett. In June 2024, Yodel was sold to Judge Logistics Ltd (JLL), owned by InPost UK Ltd, a competitor. Shift Global Holdings Ltd (Shift) and Corja Holdings Ltd (both of which are linked to the First Defendant, Mr. Corlett) claim rights to subscribe to a majority of Yodel’s shares under a “Second Warrant Instrument” dated 19 June 2024. They allege they exercised these rights in January 2025, but Yodel in breach of contract refused to issue the shares. If successful, Shift and Corja would become majority shareholders, displacing JLL.
